Business Terms of Service

1. Agreement and Parties
These Business Terms of Service (“Agreement”) constitute a legally binding contract between your business entity (“Business”, “you”, or “your”) and FridgeFlow (“we”, “our”, or “us”) regarding your access to and use of the FridgeFlow Business platform. Note: FridgeFlow Business is currently in early access and available by waitlist only. Some features described below may not yet be available.https://FridgeFlow.app.
By registering a Business account, you represent that you have the authority to bind your organisation to this Agreement. If you do not have such authority, you must not register a Business account.
These Business Terms supplement and, where they conflict, supersede the General Terms of Service.
2. Account Registration and Approval
Business accounts require manual review and approval by the FridgeFlow team before access is granted to business features. During the review period (typically 1–2 business days), your account will have limited access to the platform.
You agree to provide accurate and complete information about your business during registration, including your legal business name, type of operation (restaurant, cafe, catering, etc.), and contact information. Providing false or misleading information is grounds for immediate account termination.
We reserve the right to reject any business account application at our sole discretion, without obligation to provide a reason.
3. Permitted Use
FridgeFlow Business is intended for use by food-service businesses including but not limited to: restaurants, cafes, catering companies, cloud kitchens, bakeries, and similar food operations. Use by warehouses, grocery stores, or large-scale distribution businesses may require an Enterprise agreement.
You may invite staff members to your Business workspace under the roles and permissions system. You are responsible for all actions taken by users in your workspace, including staff members you invite.
You must not use the platform to manage inventory for businesses you do not own or operate, or to resell platform access to third parties.
4. Business Subscription Plans and Billing
FridgeFlow Business offers three subscription tiers:
- Starter — $29/month: 1 location, up to 5 staff members, core inventory and waste tracking.
- Growth — $79/month: Up to 3 locations, up to 20 staff, all features including AI demand forecasting and purchase analytics.
- Enterprise — Custom pricing: Unlimited locations and staff, SLA guarantees, dedicated support, custom integrations. Contact us at lewisvillamor26@gmail.com.
Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a 20% discount. All prices are exclusive of applicable taxes. We reserve the right to update pricing with 30 days' notice.
Trial periods, if offered, last 14 days. You will not be charged during a trial. Upon trial expiry, your account will revert to read-only unless you upgrade to a paid plan.
5. Data and Business Information
Your inventory data, purchase records, waste logs, maintenance schedules, and staff information are your property. FridgeFlow processes this data solely to provide the platform services. We do not sell or share your business data with competitors or third-party marketers.
You grant FridgeFlow a limited licence to process your business data for the purpose of providing analytics, generating AI-powered insights, and improving platform features. Aggregated, anonymised data may be used for product improvements.
Upon account termination, you may request a data export within 30 days. After this period, your data may be permanently deleted in accordance with our data retention policy.
6. Confidentiality
Each party agrees to keep the other party's confidential information (including pricing, technical information, and business data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
7. Service Level and Availability
We target 99.5% monthly uptime for Business accounts. In the event of unplanned downtime exceeding this target, Business accounts on Growth or Enterprise plans may be eligible for a service credit. Scheduled maintenance windows are excluded from uptime calculations.
Service credits, if applicable, are the sole remedy for service level failures. Credits will be applied to your next billing period upon request within 14 days of the incident.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any losses arising under this Agreement shall not exceed the fees you paid to FridgeFlow in the three (3) months immediately preceding the event giving rise to the claim.
We are not liable for indirect, consequential, special, or punitive damages, including loss of revenue, loss of data, or loss of business, even if we have been advised of the possibility of such damages.
We are not responsible for decisions made based on our AI-generated insights, demand forecasting, or analytics. These are provided for informational purposes only and do not constitute professional advice.
9. Termination
Either party may terminate this Agreement with 30 days' written notice. We may terminate immediately for material breach, non-payment, or violation of these Terms. Upon termination, your access to the platform will be revoked.
You may cancel your subscription at any time from Settings. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused portions of a billing period, except where required by law.
10. Governing Law and Disputes
This Agreement is governed by the laws of the Philippines, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved by binding arbitration or in the courts of competent jurisdiction in the Philippines.
